Calculation upon withdrawal from an LLC

Calculator for a member’s withdrawal settlement from an LLC

Enter the market value of all LLC members’ interests in aggregate, your share percentage and the paid-up portion. For a company whose documents are reviewed in Kyiv or Kyiv Region, the tool separately shows an arithmetic estimate, the valuation date before filing the application and the time limits from the proven date the company became aware.

Preliminary calculation of the share value and deadlines

The baseline model works only under the general rules of Article 24. If the charter sets a different procedure, awareness date is unconfirmed, or the withdrawal itself requires a separate decision, the calculator stops.

Not the nominal charter capital or the book value of net assets. The market value of the company as the aggregate of its shares is needed as of the proper valuation date.

From 0.01% to 100% according to the charter and Unified State Register data.

100% — the contribution was paid in full; for example, 60% means only three fifths of the contribution was paid.

Will at least one participant remain in the company after the withdrawal?
Does the current charter preserve the general procedure and time limits in Article 24?

The actual date the registration application was filed. The valuation date is the preceding calendar day.

This is the legal withdrawal date. Do not substitute the date the application was signed or notarized.

The registration date may be used as a working assumption only if supported by evidence or your informed confirmation; these events are not automatically identical.

The 30-day and annual checks depend on when the company learned or should have learned of the withdrawal. A disputed date cannot be silently treated as the state registration date.

What does the calculation under Article 24 mean

As a general rule, a member with less than a 50% share may withdraw without the other members’ consent. A 50% or larger share requires the consent of the other members; withdrawal is not allowed if no members would remain in the company. The withdrawal date is the date of state registration.

Within 30 days from the date the company learned or should have learned of the withdrawal, it must notify the former member of the value of their share, provide a reasoned calculation, and provide copies of the necessary documents. As a general rule, payment is made within one year of the same triggering event.

Value is based on the market value of all members’ interests in aggregate, in proportion to the former member’s interest and only to the paid-up extent. The charter in force at withdrawal may set a different deadline, procedure, amount or calculation method.

Methodology

Calculation methodology

Preliminary calculation methodology

  1. We check whether another participant remains and whether consent is required for a share of 50% or more.
  2. The version of the charter in force on the withdrawal date is checked; automatic calculation is blocked if special rules apply.
  3. Market value of all shares is multiplied by the member’s share and paid portion of the contribution without intermediate rounding.
  4. The valuation date shown is the day before the application is actually filed for state registration; the withdrawal date is a separate registration date.
  5. Count 30 calendar days and one calendar year from the proven date on which the LLC became aware; shift the end date from a weekend only if the user selects that option.
Example

Example for a Kyiv technology LLC

A member of a Kyiv LLC owns 25% and has fully paid their contribution. For the preliminary model, an appraiser determined the market value of all shares to be UAH 12,000,000 as of the day before the application was filed.

  • Market value of all shares M: UAH 12,000,000
  • Share S: 25%
  • Paid-up portion P: 100%
  • Proven date the LLC became aware: January 20, 2026

Estimated value of the paid-up portion of the share is UAH 3,000,000.00. The 30-day checkpoint is February 19, 2026, and the annual guideline date is January 20, 2027.

The example does not confirm the market valuation itself, the absence of special charter provisions, the company’s debts, or that the date of awareness is undisputed.

Frequently asked questions

Frequently asked questions

Should net assets from the balance sheet be used?

No, not as an automatic substitute. Article 24 ties the value to the market value of all members’ shares together. Accounting data may be evidence for an appraiser or in a dispute, but it is not a ready-made calculator formula.

What date is used to determine market value?

As a general rule, use the date immediately before the application to withdraw is filed for state registration. The calculator therefore asks separately for the filing date and the registration date itself.

Must an LLC always pay exactly one year’s amount?

The general rule under Article 24 is payment within one year from the date the company learned or should have learned of the withdrawal. The charter may set different conditions, and the exact start date must be proven.

Can I receive a vehicle or real estate instead of money?

Such a transfer is possible only with the company’s and former member’s consent. The calculator provides a monetary reference and does not assume an in-kind payment without agreement.

Can a member with a 60% share simply file an application?

For a member holding a 50% or greater interest to withdraw, Article 24 requires the consent of the other members. Check the procedure for obtaining it and the registration package before filing.
