How to withdraw from an LLC and receive the value of your interest

An incorrect application date, missing consent, or book-value assessment instead of a market valuation can derail the withdrawal or reduce the payment. This guide helps an LLC member in Kyiv or Kyiv Oblast separate the registration step, valuation, and payment claim.

What you should know

  • As a general rule, a member with an interest below 50% may withdraw without the others’ consent, but the sole member cannot withdraw.
  • An interest of 50% or more requires the consent of the other members; check the procedure and registration package before filing the application.
  • The amount is based on the market value of all interests together as of the day before the application is filed, in proportion to the interest and the portion paid.

When this applies

This guide is for a member who plans to end their participation in an LLC through withdrawal under Article 24 of the LLC Law, rather than by selling the interest. The main risks arise before registration: an interest of 50% or more requires the other members’ consent, the sole member cannot leave the company without members, and the current charter may change the standard settlement procedure.

Do not use this procedure for a sale, gift, inheritance, member exclusion, or liquidation. Those are different legal events with different document packages and consequences. An interest in an LLC’s charter capital is also not an interest in an apartment or other jointly owned property; the latter has a separate guide to selling an interest in jointly owned property.

For a Kyiv company, it is practical to gather the corporate records in one place from the outset. Members and the director may be in different parts of Kyiv, elsewhere in the oblast, or abroad, so keep not only the signed application but also evidence of its actual filing, registration, and the company’s receipt of the information.

Which deadline or procedure applies

As a general rule, a member with an interest below 50% may withdraw without the other members’ consent. An interest of 50% or more requires their consent. Withdrawal is completed on the date the change in membership is state-registered, not on the date the application is signed or notarized. The law does not allow withdrawal if no member would remain in the LLC afterward.

The market value is determined as of the day before the application for state registration of the withdrawal is filed. The filing date is therefore a separate fact that should be confirmed by an inventory, receipt, or other registrar document. The formula uses the market value of all members’ interests together, the former member’s interest, and the paid portion of that member’s contribution.

Use the LLC withdrawal settlement calculator to see the amount, valuation date, 30-day notice check, and one-year payment reference separately. Deadlines depend on the proven date when the company learned or should have learned of the withdrawal. The registration date may be used as an assumption only after consciously confirming the evidentiary basis; by default, these are not the same event.

How to proceed step by step

First obtain the current version of the charter and check the interest amount in the Unified State Register. Compare these details with members’ resolutions, contribution records, and bank statements. If the interest is 50% or more, prepare the other members’ consent in a form suitable for the registration package. If there is doubt about a signature or authority, do not file an incomplete package.

Prepare the application and choose the proper state registration authority under the current rules and available filing method. Before applying in Kyiv or the oblast, check the official resource to confirm that the selected registrar accepts this specific action, which documents and format are required, and how the filing date will be recorded. Do not rely only on the notarization date: for valuation, the law refers to the day before the application is actually filed.

After registration, obtain current Unified State Register information and separately notify the company using a method that provides evidence. In your request, ask the company to state the interest value, provide a reasoned calculation, and supply copies of the documents needed for review. Record delivery, an incoming reference number, electronic confirmation, or postal documents; the starting date is often disputed.

For the valuation, give the professional the charter, corporate resolutions, financial statements, and documents about assets and liabilities. Ask the report to identify the subject, date, and methods clearly. A figure calculated as “charter capital × percentage” or a mechanical share of net assets does not automatically satisfy the market-value formula.

What to check before filing

Compare three dates: filing the application with the registrar, state registration of the withdrawal, and the company’s proven awareness. The first sets the valuation date, the second is the legal withdrawal date, and the third starts the 30-day and one-year checks under the general rule. One document rarely proves all three events.

In the corporate archive, check not only the latest charter but also when it took effect. A special procedure may address the timing, method, amount, or form of payment. If the wording allows more than one interpretation, do not use an automatic formula as an undisputed claim.

Check whether this member paid their contribution. If it was paid only in part, only the paid portion is subject to payment. Separately review large debts, pledges, litigation, related-party transactions, and records for key assets; these may materially affect the market valuation of the business.

When to consult a lawyer

Legal review is useful if the other members withhold consent, the company disputes the withdrawal date or receipt of notice, the charter was amended before registration, contribution records are incomplete, or the parties’ valuations differ substantially. An overdue payment also requires a separate strategy: first establish the deadline and principal amount, then assess grounds for additional charges and the appropriate remedy.

For a review in Kyiv or Kyiv Oblast, prepare one chronological package: the charter, Unified State Register extracts before and after withdrawal, application, filing and delivery evidence, contribution records, correspondence, financial materials, and both valuations if they differ. This helps separate a registration issue from a dispute about market value and the payment period.

Risks

Common mistakes

  • Treating nominal charter capital or balance-sheet net assets as the market value of all interests together.
  • Confusing the date the application is notarized, the date it is filed with the state registrar, and the date the withdrawal is registered.
  • Automatically treating the registration date as proven company awareness without notice or other evidence.
  • Failing to check special rules in the current charter on the timing, procedure, amount, or method of settlement.

Frequently asked questions

Frequently asked questions

Can a member with a 40% interest withdraw without the others’ consent?

As a general rule under Article 24, yes, if another member remains in the LLC after the withdrawal. Before filing, check the current charter, interest amount, contribution payment, and registration documents.

What does a member with an interest of 50% or more need?

The consent of the other members is required. The law sets a period for granting it unless the charter provides otherwise; check the consent’s wording, signatures, and registration package before applying.

Is the payment equal to the member’s share of balance-sheet net assets?

Not automatically. The law uses the market value of all members’ interests together, in proportion to the former member’s interest. The balance sheet and source documents may support the valuation, but they do not replace it.

When must the LLC provide the calculation and documents?

As a general rule, no later than 30 days after the company learned or should have learned of the withdrawal. Evidence must support the starting date, and the charter may set a different procedure.

Can I request property instead of money?

An in-kind payment is possible only with the consent of both the company and the former member. You cannot unilaterally choose a particular apartment, car, or item of equipment instead of a cash settlement.
